1. Acceptance of Terms

By accessing or using PostIdeas ("Service"), provided by Velocity Tech Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

PostIdeas is a subscription‑based software platform that:

  • Scans and processes publicly available newsletters
  • Extracts actionable insights and filters promotional content
  • Uses AI to generate personalized content ideas
  • Provides a curated database of insights with proper attribution
  • Offers tools for content creation and organization

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

4.1 Account Creation

You must create an account to access the Service. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information
  • Keep your password secure and confidential
  • Notify us immediately of unauthorized access

4.2 Account Responsibility

You are responsible for all activities under your account. We are not liable for losses due to unauthorized use of your account.

Each individual is permitted only one account. Creating multiple accounts, particularly to abuse the free trial system, is strictly prohibited and will result in termination of all accounts.

5. Subscription and Payment

5.1 Subscription Plans

We offer various subscription plans with different features and token allocations. Current plans and pricing are available on our website.

5.2 Token System

Our Service uses a token‑based system for AI content generation:

  • Each AI generation typically uses 1–2 tokens
  • Token allocations vary by subscription plan
  • Unused tokens may expire according to plan terms
  • Additional tokens may be purchased separately

5.3 Billing

  • Subscriptions are billed in advance on a recurring basis (monthly or annually)
  • You authorize us to charge your payment method automatically
  • Prices are subject to change with 30 days' notice
  • All fees are non‑refundable except as required by law or for verified billing errors

5.4 Free Trial

Free Trial Credits:

  • New users receive 2 free credits to test the Service
  • No credit card or payment information required
  • Free trial is limited to one per email address and IP address
  • Free credits have no cash value and cannot be refunded or transferred

No Automatic Billing:

  • After using your free credits, you must manually subscribe to continue using the Service. We will never automatically charge you without your explicit authorization.
  • You choose if and when to purchase a paid subscription.

Abuse Prevention:

  • Creating multiple accounts to receive additional free credits is prohibited
  • We reserve the right to deny free trial access if abuse is suspected
  • Violating free trial terms may result in permanent ban from the Service

5.5 Cancellation

How to Cancel: You may cancel your subscription at any time through your account settings or by contacting us at support@postideas.co.

Cancellation Timing: To avoid being charged for the next billing period, you must cancel your subscription before your monthly or annual anniversary date.

Effect of Cancellation & Token Forfeiture:

  • Cancellation takes effect at the end of the current billing period
  • You retain access to your account and features until the end of the paid period
  • No refunds for partial months or unused tokens
  • All unused tokens/credits are immediately forfeited
  • Credits have no cash value and cannot be refunded
  • You cannot use tokens after your paid period ends
  • If you reopen an account later, forfeited credits are not restored

6. Acceptable Use

6.1 Permitted Use

You may use the Service to:

  • Access newsletter insights for content creation
  • Generate personalized content ideas
  • Save and organize insights
  • Create original content based on insights

6.2 Prohibited Use

You may not:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Resell, redistribute, or commercialize the Service or content
  • Use automated systems to access the Service (except as permitted)
  • Scrape or download content in bulk
  • Share your account credentials
  • Bypass usage limits or token restrictions
  • Create multiple accounts to abuse the free trial system
  • Use the Service for spam or malicious purposes
  • Claim our insights or outputs as solely your creation without transformation
  • Remove or obscure attribution to original authors and publications

7. Intellectual Property

7.1 Our Property

The Service, including its software, design, content, and trademarks, is owned by Velocity Tech Inc. and protected by intellectual property laws.

7.2 Newsletter Content and Attribution

  • We process publicly available newsletters under fair use principles
  • We provide attribution to original authors, publications, and source dates
  • Original newsletter content remains the property of respective authors and publications
  • Our insights are transformative works created from original content

7.3 User‑Generated Content

You retain ownership of content you create using our Service. AI‑generated content ideas are:

  • Provided "as‑is" for your use and transformation
  • Subject to your review, editing, and originality

You are responsible for ensuring your final content is original and does not infringe third‑party rights. By using AI‑generated ideas, you acknowledge you will add your own originality and transformation.

7.4 License to Us

You grant us a limited license to use, store, and process your account information and usage data to provide and improve the Service.

8. AI‑Generated Content

8.1 Nature of AI Content

  • AI‑generated content ideas are suggestions and starting points
  • You must review, edit, and add originality to all AI outputs
  • AI outputs may not always be accurate, complete, or suitable for your purposes
  • You are solely responsible for your final published content

8.2 No Warranty

We do not warrant that AI‑generated content is:

  • Original or unique
  • Free from errors or omissions
  • Suitable for any particular purpose
  • Free from third‑party intellectual property claims

8.3 Your Responsibility

You are responsible for:

  • Verifying accuracy of AI outputs
  • Ensuring your content is original and transformative
  • Complying with copyright and attribution requirements
  • Not presenting AI outputs as your own without substantial modification

9. Content Attribution and Copyright

9.1 Required Attribution

When using insights from our platform, you must:

  • Acknowledge when content is inspired by or based on newsletter insights
  • Maintain attribution information we provide (author, publication, source date)
  • Comply with copyright law and fair use principles

9.2 Original Content Creation

You agree to:

  • Transform insights into original content
  • Add substantial value, analysis, or perspective
  • Not copy newsletter content verbatim
  • Ensure your content is transformative and original

9.3 Indemnification

You agree to indemnify us against claims arising from your use of content generated through our Service, including copyright infringement claims.

10. Refund Policy

10.1 No Refunds

All sales are final. We do not offer refunds for:

  • Subscription fees (monthly or annual)
  • Token purchases
  • Unused tokens or credits
  • Partial subscription periods
  • Account membership of any kind

10.2 Cancellation Before Renewal

  • You may cancel at any time before your renewal date to avoid future charges
  • Cancellation must occur before your monthly or annual anniversary
  • No refunds for the current billing period

10.3 Forfeiture of Unused Tokens

  • All unused tokens are forfeited when you cancel your subscription
  • Tokens have no cash value
  • Forfeited tokens are not restored if you reactivate your account

Refunds will only be provided for:

  • Verified billing errors
  • Duplicate charges
  • Unauthorized transactions
  • Technical errors in billing

11. Disclaimers and Warranties

11.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT.

11.2 No Guarantee

We do not guarantee:

  • Uninterrupted or error‑free operation
  • Accuracy or reliability of content
  • Specific results from using the Service
  • Availability of specific newsletters or sources

11.3 Third‑Party Content

We are not responsible for the accuracy, legality, or quality of third‑party newsletter content we process.

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for losses resulting from unauthorized access, service interruptions, or third‑party content

13. Indemnification

You agree to indemnify, defend, and hold harmless Velocity Tech Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms

  • Content you create or publish
  • Abuse of the free trial system

14. Data and Privacy

Your use of the Service is subject to our Privacy Policy, incorporated by reference into these Terms. You consent to our collection and use of data as described in the Privacy Policy, including:

  • Collection of email address and IP address for free‑trial fraud prevention
  • Retention of this information even after account deletion
  • Use of cookies and tracking technologies

15. Modifications to Service

We reserve the right to:

  • Improve or change AI algorithms

16. Termination

16.1 By You

You may terminate your account at any time by canceling your subscription. Upon cancellation, all unused tokens are immediately forfeited.

16.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Abuse the Service or harm our systems
  • Fail to pay fees
  • Create multiple accounts to abuse the free trial
  • Engage in prohibited conduct

16.3 Effect of Termination

  • Your access to the Service ends immediately (or at end of billing period for cancellation)
  • You remain liable for any outstanding fees
  • All unused tokens are forfeited with no refund
  • Provisions that should survive (liability, indemnification) remain in effect, and we may delete your account data after a reasonable period
  • You may not create a new account if terminated for violations

16.4 No Restoration of Credits

If you reactivate your account after cancellation or termination, previously forfeited credits are not restored. You will receive only the token allocation associated with your new subscription plan.

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

17.2 Arbitration

Any disputes shall be resolved through binding arbitration in Miami‑Dade County, Florida, in accordance with the American Arbitration Association's Commercial Arbitration Rules, except you may assert claims in small claims court if they qualify. You waive the right to a jury trial or class action.

17.3 Exceptions

Either party may seek injunctive relief in court for intellectual property or confidentiality matters.

17.4 Venue

For any matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Miami‑Dade County, Florida.

  • Assignment: You may not assign these Terms. We may assign them without restriction.
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
